Process>Math>AND does a bitwise AND operation. Except for very special (and rare) applications, it should be used only with binary images, i.e., thresholded images converted to a mask.
Otherwise, your question seems to refer to a colocalization problem. Have a look at the mailinglist or a web search engine for 'ImageJ colocalization' for hints how to do it (I am not a biologist, so I am not the right person to ask bout this).
